Terms of Service

These Terms of Service ("Terms") govern your access to and use of invoices.net, including the invoice generator, any accounts, and related features (together, the "Service"). By using the Service, or by creating an account and agreeing to these Terms, you agree to be bound by them. If you do not agree, do not use the Service.

1. The Service

invoices.net provides free, web-based tools for creating, customizing and downloading invoices and similar documents such as quotes, estimates and receipts. We may add, change or remove features at any time. Some features may require an account.

2. Accounts

1. You don't need an account to create and download invoices. If you create one, you must provide accurate information and keep it up to date.
2. You are responsible for keeping your password confidential and for all activity that happens under your account. Tell us promptly if you believe your account has been accessed without your permission.
3. You must be at least 18 years old, or the age of majority where you live, to create an account.
4. If you use the Service on behalf of a business, you confirm that you are authorized to accept these Terms for that business.

3. Your Content

1. You own the information you enter into the Service, including business details, client details, line items, logos and notes ("Your Content").
2. When you use the invoice generator without an account, your invoice is assembled in your browser. If you save content to an account, you grant us a limited license to store, process and display Your Content solely to provide the Service to you.
3. You are responsible for Your Content. That includes its accuracy, the tax amounts and rates you apply, and your right to use any logos or other material you upload.

4. Acceptable Use

You agree not to:

• use the Service to create fraudulent, misleading or fake invoices, or for any unlawful purpose;
• impersonate any person or business, or use names, logos or trademarks you are not entitled to use;
• interfere with or disrupt the Service, or attempt to gain unauthorized access to it or to other users' accounts;
• scrape, copy, resell or exploit the Service or its software through automated means without our written permission;
• upload malware or any material that infringes the rights of others.

5. Fees

The invoice generator is free to use. If we offer paid features in the future, their prices and payment terms will be shown to you before you buy, and you will only be charged if you choose to purchase them.

6. Privacy

Our handling of personal information is described in our Privacy Policy. By using the Service, you acknowledge that we process information as described there.

7. Our Intellectual Property

The Service, including its software, design, templates, text, graphics and the invoices.net name and logo, is owned by us or our licensors and is protected by intellectual property laws. Apart from your right to use the Service under these Terms, no rights are granted to you. Invoices you generate are yours to use for your business.

8. Disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted, secure or error-free, or that calculations, templates or documents will meet your legal, tax or accounting requirements. You are responsible for checking every invoice before you send it. invoices.net does not provide legal, tax or accounting advice.

9. Limitation of Liability

To the fullest extent permitted by law, invoices.net will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or US $50.

10. Indemnity

You agree to defend, indemnify and hold harmless invoices.net from any claims, damages, losses and expenses, including reasonable legal fees, arising out of Your Content, your misuse of the Service, or your violation of these Terms or of any law or third-party right.

11. Suspension and Termination

You can stop using the Service at any time, and you can delete your account whenever you like. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing to provide the Service to you would create risk for us or other users. Sections 3(c) and 7 through 13 survive termination.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above, and for material changes we will provide additional notice where appropriate. Continuing to use the Service after changes take effect means you accept the updated Terms.

13. General

1. Governing law. These Terms are governed by the laws of the jurisdiction in which the operator of invoices.net is established, without regard to conflict-of-law rules.
2. Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and invoices.net regarding the Service.
3. Severability. If any provision is found unenforceable, the remaining provisions will remain in full effect.
4. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
5. Assignment. You may not transfer your rights under these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
